These Terms & Conditions govern your use of the nextgenretail platform (the "Service"), provided by nextgenretail ("we", "us"). By requesting a subscription you agree to them on behalf of yourself and the business you represent.

1. The Service

The Service provides point of sale, inventory, accounting and related business software, hosted by us and reached through your web browser. Each customer receives a separate workspace. Features available to you depend on the Subscription Tier you choose.

2. Your account

You must give accurate information when you subscribe and keep it up to date. You are responsible for the users you create in your workspace, for keeping their passwords secure, and for everything done under their accounts. Tell us promptly if you believe an account has been compromised.

3. Subscription and payment

Subscriptions are paid in advance for the period shown on the Pricing Page. Prices are shown before you pay and include any taxes stated there. Your workspace is set up once payment is confirmed. Before a period ends we send you a link to renew; a subscription that is not renewed ends with its period, and the workspace is paused. We may change prices for future periods, and will tell you before a change applies to you. Refunds are covered by our Refund Policy.

4. Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent or harmful;
• attempt to gain access to another customer's workspace or to our systems;
• interfere with or overload the Service, or attempt to bypass its limits;
• resell or sublicense the Service without our written permission.

We may suspend a workspace that breaches these terms or puts the Service or other customers at risk, and will tell you why where we lawfully can.

5. Your data

The business data you enter into your workspace belongs to you. You grant us only the rights needed to host, process and back it up in order to provide the Service. How we handle personal data is described in our Privacy Policy. You are responsible for having a lawful basis for any personal data about your own customers or staff that you put into the Service.

6. Availability and support

We aim to keep the Service available at all times but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and will try to give notice of planned downtime. We may add, change or remove features over time.

7. Ending the subscription

You may stop using the Service at any time by not renewing. We may end the Service for you if you materially breach these terms. After a subscription ends, the workspace is paused and its data is kept for a limited period, during which you may renew or ask us for an export. After that period it may be permanently deleted.

8. Intellectual property

The Service, its software and its branding remain ours or our licensors'. These terms give you a right to use the Service during your subscription and nothing more. Parts of the Service are built on open source software, which remains under its own licences.

9. Disclaimers and limitation of liability

The Service is provided "as is". To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or lost data, and our total liability for any claim is limited to the amount you paid us in the three months before it arose. Nothing in these terms limits liability that cannot be limited by law.

10. Changes to these terms

We may update these terms. The date at the top of this page shows the current version. If a change materially affects you, we will tell you before it takes effect; continuing to use the Service after that means you accept the change.

11. Governing law

These terms are governed by the laws of Pakistan, and its courts have jurisdiction over any dispute arising from them.
